Based on Regulation on organization and operation of Thuan Binh Wind power Joint stock Company;

Based on Annual General Meeting minute 2020 on February 28^th 2020.

Decided

Article 1: Approved Report of the Operation Board on the results of business performance in 2019 and plan in 2020, detail as follows:

1. Result of business in 2019:

    - Total revenue in 2019: VND 139.13 billion

    - Profit before tax: VND 37.53 billion

    - Profit after tax: VND 37.41 billion

The company’s total revenue is VND 139.13 billion, over 9% compare to the plan and profit after tax is VND 37.14 billion, over 61% compare to the plan.

2. Investing in wind power, solar power projects:

a. Progress of Phu Lac wind farm – phase 1 (24MW) with preferential loans from Germany government:

    - Balanced of principal and interest payment of remaining periods under the On-lending agreement signed between TBW and EVN Finance Joint Stock Company.

    - Completed land procedures; Continue to operate the plan safely and effectively.

b. Progress of Loi Hai wind farm (Ninh Thuan province):

    - Postponed investment preparation of Loi Hai 2 wind farm temporarily while waiting for the project could be added into Ninh Thuan electricity development planning phase 2016-2025, consider to 2035 and construct transmission line to release overload power production at Ninh Thuan province.

c. Progress of Phu Lac wind farm – phase 2 (26MW) (Binh Thuan province):

    - Administrative Council is responsible for project investment preparation, include: inspect terrain, prepare feasibility study report,… report implementation results to General Meeting of Shareholders so they can make decision.

d. Projects in Central Highlands:

    - Continue associate with government of provinces in Central Highlands in order to inspect and deploy projects.

e. Consulting service for domestic and foreign partners:

    - Promote strengths of employees in Renewable Energy field, contribute to create more jobs and increase income.

3. Tentative business plan in 2020:

    - Total tentative revenue in 2020: VND 121.94 billion;

    - Profit after tax: VND 32.01 billion;

    - Tentative dividend 15%: VND 24.45 billion.

4. Construction investment capital in 2020: Estimated VND 16,157 million, therein:

5. Operating costs of company in 2020: Estimated VND 13,491 million, therein:

6. Plan to repay Phu Lac wind farm – phase 1’s loan principal and interest in 2020 estimated VND 77,370 billion.

Article 2: Approved contents as follows:

1. Report of Operation Board about results of business missions in 2019 and business plan in 2020;
2. Report of Control Board in 2019 and vision in 2020;
3. Business plan in 2020 such as: Report no. 01/2020/TTr–TBW–HĐQT dated 02/24/2020 of Administrative Council.
4. Plan to distribute profit after tax in 2019:

           4.1. Total profit until 12/31/2019: VND 37,534 million

           Therein:

               - Profits from previous years: VND 2,501 million

               - Evaluate Exchange rate difference: VND 4,104 million

               - Profit after tax in 2019: VND 37,409 million

           4.2. Plan to distribute profit:

               - Bonus and welfare: VND 1,059 million

               - Devidend by cash equal to 15%: VND 24,450 million

               - Remaining profit (include Exchange rate difference): VND 14,401 million

     5. Approved Financial report in 2019 that was audited by UYH Auditing and Consulting Company Limited branch Ho Chi Minh city.

     6. Total salary of Administrative Council and Control Board in 2019 are VND 540 million.

     7. Authorized to Administrative Council to select consulting and auditing company in order to audit financial report in 2020.

     8. Canceled members in Administrative Council, Control Board as Report no. 02/2020/TTr–TBW–HĐQT dated 02/27/2020 of Administrative Council, detail as follows:

         - Based on resignation letter of members in Control Board and Decision of Council members of EVN corporation; General Meeting of Shareholders decided to cancel members with:

             + Mrs. Nguyen Thi Khuyen               Leader of Control Board;

             + Mr. Vu Nhu Thanh                          Member of Control Board.

    9. Voted additional members in Administrative Council, Control Board as Report no. 02/2020/TTr–TBW–HĐQT dated 02/27/2020 of Administrative Council:

             + Mr. Huynh Thanh Hai: (birthyear: 1970) Representative of REE will be member of Administrative Council for time remaining of term 2019-2023;

             + Ms. Nguyen Thi Huynh Phuong: (birthyear: 1973) Representative of REE will be member of Control Board for time remaining of term 2019-2023.

Administrative Council decided to vote Mr. Huynh Thanh Hai as Chairman of Binh Thuan Wind power Joint stock Company for time remaining of term 2019-2023.

Control Board decided to vote Ms. Nguyen Thi Huynh Phuong as Leader of Control Board of Binh Thuan Wind power Joint stock Company for time remaining of term 2019-2023.

     10. Approved to authorize for Administrative Council to verify Audit report of completed project – Phu Lac wind farm – phase 1.

Article 3: This decision is valid from the day signed.
